Supplemental Terms for AI Features

These Supplemental Terms for AI Features (“AI Terms“) govern your use of the features or functionality powered by artificial intelligence, large or small language models, or machine learning (in each case including features or functionality provided by third parties) (collectively, “Priori AI”) that we may from time-to-time make available to you through platform and site operated by Priori Legal, Inc. (“Priori”, “we,” “us”). 

Any terms used but not defined herein have the meanings assigned to them in your primary agreement with Priori (e.g., a Non-Attorney Provider Agreement, Attorney Agreement, Priori Legal Terms of Use, or other similar agreement) (each an  “Agreement”).  The Agreement shall continue in full force and effect.

THESE AI TERMS, TOGETHER WITH THE AGREEMENT, SET FORTH THE TERMS ACCORDING TO WHICH THE PROVIDER MAY USE PRIORI AI. 

BY USING OR ACCESSING PRIORI AI, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY THESE AI TERMS. YOU REPRESENT AND WARRANT THAT YOU HAVE THE FULL LEGAL AUTHORITY TO ENTER INTO THESE AI TERMS AND IF YOU ARE ACTING ON BEHALF OF AN ORGANIZATION OR COMPANY, YOU HAVE THE LEGAL AUTHORITY TO BIND SUCH ORGANIZATION OR COMPANY TO THESE AI TERMS.

2. Artificial Intelligence. 

A. Voluntary Use. All use of Priori AI is subject to these AI Terms, the Agreement, and all applicable laws. Additionally, all use of Priori AI is voluntary; you do not need to use Priori AI in order to access the Priori platform or other Services. 

1. implement appropriate human oversight and safeguards to mitigate potential risks associated with your use of Priori AI;
2. remain responsible for any and all content, inputs, or prompts you provide to Priori AI (collectively, “Inputs”) , and any and all content generated and displayed to you (“Output”), decisions made, advice given, actions taken, and failures to take action based on your use of Priori AI;
3. not use Priori AI in contravention of applicable laws, restrictions in the Agreement, or in any geography not supported by Priori or our Third-Party Provider (as defined below);
4. provide information about your intended use of Priori AI and compliance with these Terms upon request; and
5. evaluate all Output for accuracy and appropriateness in light of the probabilistic nature of AI and potential for producing inaccurate content.

C. Third-Party Providers. Priori AI is currently powered in part by language models and technology provided by a third-party (“Third-Party Provider”), OpenAI LLC (“OpenAI”). Our relationship with OpenAI is governed by their Business Terms, available at https://openai.com/policies/business-terms/. Under these terms, OpenAI does not use your Inputs or Output to improve its underlying language models. We reserve the right to utilize a different Third-Party Provider in relation to Priori AI at any time upon providing prior notice.  If you do not agree to our use of that new Third-Party Provider, your sole remedy is to cease your use of Priori AI.  

D. AI Content. As between you and Priori, you own all of the Inputs you provide and Output you generate using Priori AI.  Notwithstanding anything to the contrary, you hereby grant us and our affiliates a universal, non-exclusive, royalty-free, paid-up, irrevocable right and license to copy, process, create derivative works of, modify, adapt, and otherwise use your Inputs and Output (in any media, now known or hereafter developed): (i) during the term of the Agreement, for the purpose of providing the Services under the Agreement; and (ii) on a perpetual basis, for the purpose of generally improving or enhancing our products and services.
